Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AI phone-intake services operated by NextAI Forge, LLC ("NextAI Forge, LLC", "we", "us", or "our"), including Coggleby, Hartlowe, and Indagor (collectively, the "Services"). By creating an account, subscribing, or otherwise using the Services, you agree to these Terms.

01The Services

The Services are software products that answer inbound telephone calls on behalf of customer businesses using an automated AI voice agent. They engage callers, gather intake information appropriate to the vertical (auto-repair estimate requests; RIA client inquiries; PI case leads), produce call transcripts and summaries, and write the captured intake back into a tenant-selected system of record where supported.

The Services are intake and answering tools. They do not perform the underlying work (repair, advice, investigation) and do not provide any emergency, medical, safety, legal, or financial advice.

02Eligibility and accounts

You must be at least 18 years old and authorized to enter into these Terms on behalf of the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

03Subscription and billing

  • Subscriptions. Each brand is offered on a recurring monthly subscription at the price displayed at the time of purchase.
  • Payment processing. Billing is handled by Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring monthly basis until you cancel.
  • Cancellation. You may cancel at any time, effective at the end of your current billing period. Your access continues through the period you have already paid for.
  • Refunds. Except where required by applicable law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or downgrades.
  • Changes to fees. We may change our fees on a prospective basis. We will give you reasonable advance notice; changes take effect at your next renewal.
  • Taxes. Fees are exclusive of taxes, which are your responsibility where applicable.

04Acceptable use

You agree not to, and not to permit anyone to:

  • Use the Services for any unlawful, fraudulent, or deceptive purpose;
  • Use the Services in a manner that violates telemarketing, robocall, call-recording, or consumer-protection laws;
  • Misrepresent your identity or your authority to use the Services;
  • Attempt to disrupt, reverse engineer, overload, or gain unauthorized access to the Services or their infrastructure;
  • Upload or transmit malware, or use the Services to harass, abuse, or harm others;
  • Resell or provide the Services to third parties except as expressly permitted in writing.

05Critical disclaimers

Not an emergency service

The Services are intake and answering tools. They are NOT an emergency service and are NOT a substitute for 911, emergency dispatch, or professional emergency responders. Anyone facing a fire, flood, gas leak, medical emergency, or other situation that threatens life, health, or safety must contact 911 or the appropriate emergency services immediately.

Hartlowe is not financial advice

Hartlowe captures inquiries and routes callers to a human advisor. It does not provide investment advice, recommendations, or projections of returns. You remain responsible for any AI-use disclosure required by Form ADV, FINRA, or applicable state RIA regulations.

Indagor is not an investigator

Indagor captures case leads on behalf of a licensed private-investigation agency. The Service does not surveil, search public records, or render any investigative judgment. Your agency remains the licensed party of record.

No guarantee of capture or dispatch

We do not guarantee that every call will be answered, captured, transcribed, summarized, routed, or notified to you correctly, completely, or in a timely manner. The AI may make errors, mishear, misclassify, or omit information, and telephony, network, or third-party outages may prevent calls from being handled.

You are solely responsible for verifying all captured information and for acting on caller communications.

Call recording and consent are your responsibility

The Services may record and transcribe calls. Laws governing the recording of telephone calls and the notice or consent required vary by jurisdiction (including "one-party" and "two-party/all-party" consent rules). You are solely responsible for determining and complying with all call-recording, notice, and consent requirements that apply to your calls and callers.

06Your content and information

You retain ownership of the information and content captured through your use of the Services, including call recordings, transcripts, and captured intake ("Customer Data"). You grant us a limited license to process Customer Data to provide, secure, maintain, and improve the Services. You represent that you have all rights and consents necessary for us to process Customer Data, including any personal information of third-party callers.

07Warranty disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

08Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEXTAI FORGE, LLC AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, OR LOST OR MISSED JOBS, ARISING OUT OF OR RELATING TO THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

09Indemnification

You agree to defend, indemnify, and hold harmless NextAI Forge, LLCand its officers, employees, and suppliers from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) Customer Data and your handling of captured intake and caller communications; (c) your failure to obtain any legally required call-recording notice or consent; or (d) your violation of these Terms or applicable law.

10Suspension and termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Services in a way that risks harm to us, the Services, or others. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

11Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to other agreed dispute-resolution terms.

12Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice and update the "Last updated" date above.
